Atomikos Contributor Agreement
Version 1.16
Thank you for wanting to contribute to the Atomikos community. Contributions are governed by rules similar to those used by Apache, the Free Software Foundation or other open source organizations: to protect the rights of the community, Atomikos requests that you share any relevant copyrights and patents in your contributions with Atomikos. You don’t lose any rights by doing this: you remain free to use your contribution in any way you want.
Therefore, in order to contribute, please sign the following Contributor Agreement as an authorized representative of your company or organization:
1. “Your Contribution” means all of the joint past, present and future source code, object code, patches, comments, documentation, training material or any other information in any way submitted to Atomikos, excluding any submissions that are conspiciously marked as “Not a Contribution”.
2. You hereby assign to Atomikos joint ownership (*) in all worldwide common law and statutory rights associated with the copyrights, copyright applications and copyright registrations in Your Contribution, and to the extent allowable under applicable local laws and copyright conventions, you agree never to assert against Atomikos or its licensees or transferees any moral rights therein. You confirm that this agreement may be submitted by Atomikos to register a copyright in Your Contribution, and that Atomikos may exercise all rights as a copyright owner of Your Contribution, including enforcement against infringers. Both parties to this Contributor Agreement shall be able to do all such things in relation to Your Contribution as if each of us respectively were the sole owners of the copyright and all other relevant property rights therein. Neither party has any duty whatsoever to consult with, obtain the consent of, pay or render an accounting to the other party for any use or distribution of Your Contribution or a derivative work.
(*) If such ownership assignment is (or becomes) invalid, ineffective, unenforceable or terminates for whatever reason then you hereby grant to Atomikos a perpetual, irrevocable, non-exclusive, worldwide, no-charge, royalty-free, unrestricted license to exercise all rights under those copyrights. This includes - at Atomikos' option - the right to sublicense these same rights to third parties through multiple levels of sublicensees or other licensing arrangements.
3. You assign to Atomikos and any other party who receives Your Contribution, a perpetual, irrevocable, non-exclusive, worldwide, no-charge, royalty-free license under any patents owned or licensable by you at any time without payment to you or third parties, to make, have made, use, sell, offer to sell, import and otherwise transfer Your Contribution in whole or in part, alone or in combination with or included in any product, work or materials arising out of Your Contribution, and to sublicense the foregoing rights to third parties through multiple tiers of sublicensees or other licensing mechanisms at Atomikos’ option.
4. This Contributor Agreement does not provide any rights to intellectual property already held or to be obtained by Atomikos independent of Your Contribution.
5. You confirm that you are legally entitled to assign the IP Rights and grant the license set forth in this text. You confirm that Your Contribution is an original work and that you are legally entitled to grant the rights and privileges conveyed by this Contributor Agreement. You warrant that Your Contribution, to the best of your knowledge, does not violate any other party’s copyrights, trademarks, patents or intellectual property rights.
6. You agree to notify Atomikos of any facts or circumstances of which you become aware that would make these representations inaccurate in any respect.
7. This license will be governed by and construed in accordance with the laws of the Kingdom of Belgium. This license shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. Any legal conflicts will be exclusively settled by the Court of Mechelen, Belgium.
