Datadog Contributor License Agreement

PLEASE READ THIS AGREEMENT CAREFULLY. BY SUBMITTING YOUR CONTRIBUTIONS (DEFINED BELOW) AND CLICKING "AGREE", YOU ARE AGREEING TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.

1. Introduction. Datadog, Inc. (“Datadog”) appreciates your willingness to grant permission to use the software code that you submit to a Datadog project ("Contributions") in conjunction with Datadog’s open source agents, libraries and related tools ("Datadog Tools"). Please note that this Contributor License Agreement (this “Agreement”) does not require you to give up ownership of your Contributions, or prevent you from using your Contributions for other purposes.

2. License Grant. You hereby grant to Datadog and to users of the Datadog Tools a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable license to use, make, have made, offer to sell, sell, import, reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute the Contributions and such derivative works as part of the Datadog Tools.

3. Representations. Datadog and the other users of the Datadog Tools rely on the fact that contributors like you have the necessary rights in their contributions to grant licenses like the one set out above. Consequently, as a condition to your Contributions being included in the Datadog Tools, you hereby confirm that each of the following statements is true and correct:

  • (a) The Contributions are original works created solely by you, and you did not copy them from another source.
  • (b) You are the sole owner of the Contributions and/or have sufficient rights in the Contributions to grant the above license. This means, for instance, that you have not entered into any other agreements that would prevent you from granting the rights provided in this Agreement.
  • (c) You are legally entitled to grant the above license.
  • (d) If your employer has rights to intellectual property that you create, then either (i) you have received permission to make the Contributions on behalf of that employer, or (ii) your employer has waived such rights for the Contributions. If you change employers in the future and desire to make additional Contributions, then you agree to sign a new Agreement and secure permission from the new employer before making those Contributions.
  • (e)To your knowledge, no other person has claimed, or has the right to claim, any right in any invention or patent related to the Contributions.

4. Inclusion of Contributions. You understand that the decision to include the Contributions in any product or source repository is entirely that of Datadog, and this Agreement does not guarantee that the Contributions will be included in any product, technology or services.

5. Disclosure of Information. You agree that information about your Contributions may be maintained indefinitely and disclosed publicly, including your name and other information that you include with your Contributions.

6. Commitment to Update. If you become aware of any facts or circumstances related to the representation above that would make these representations inaccurate or untrue, you agree to notify Datadog promptly with any details by emailing Datadog at opensource@datadoghq.com.
