What's this all about then?

By agreeing to this Contributor License Agreement (CLA), you are saying that you give Connamara (a major sponsor of FIX Protocol Logstash Filter development) permission to distribute your contributions (or the contributions of your organization's employees) under the terms of Connamara's choice. You are also promising that you have the necessary rights to give Connamara this permission. In return for this, Connamara is promising to you that if it distributes your contributions, Connamara will distribute them under an OSI-approved open source license. The CLA also says that you do not make any warranties or have any support obligations regarding your contributions.

The legal stuff

This CONTRIBUTOR LICENSE AGREEMENT (“Agreement”) by and between Connamara Systems, LLC (“Connamara”), with offices at 200 W. Jackson Blvd, Suite 1950, Chicago, Illinois 60606, and you and your affiliates (the “Contributor”).

RECITALS

A. The Contributor desires to submit (or to authorize submissions by its employees) to Connamara: code, documentation or other original works of authorship expressly identified in Schedule B, as well as any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by Contributor (any of the forgoing submissions referred to herein as a “Contribution” and collectively the “Contributions”) to Connamara for inclusion in, or documentation of, any of the products owned or managed by Connamara (“Connamara Products”) and to grant copyright and patent licenses to Connamara with respect to such Contributions.

B. Except for the licenses granted herein and with respect to recipients of software distributed by Connamara, the Contributor reserves all right, title, and interest in and to its Contributions.

AGREEMENT

The parties hereto hereby agree as follows:

  1. Submissions. Contributor agrees that anything that Contributor provides to Connamara in any form whatsoever shall be deemed to be a submission of a Contribution unless it is conspicuously marked as “Not a Contribution”.
  2. Grant of Copyright License. Contributor hereby grants to Connamara and to recipients of software distributed by Connamara (the “Connamara Parties”) a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute the Contributions and any derivative works thereof.
  3. Grant of Patent License. Subject to the terms and conditions of this Agreement, Contributor hereby grants to the Connamara Parties a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Contributions, where such license applies only to those patent claims licensable by Contributor.
  4. Entitled to Grant Licenses. Contributor represents that it is legally entitled to grant the above licenses. If Contributor is an entity, Contributor represents that each employee of the Contributor (designated on Schedule A below or in a subsequent written modification thereto) is authorized to submit Contributions on behalf of Contributor. If Contributor is an individual, Contributor represents that the Contributions are Contributor’s original work, independently developed using no intellectual property of any third party or Contributor has the right to make such Contributions. Contributor represents the Contribution submissions include complete details of any third-party license or other restriction (including related patents and trademarks) of which Contributor is personally aware and which are associated with any part of the Contributions.
  5. No Warranties. Unless required by applicable law or agreed to in writing, the Contributions are provided on an "as is" basis, without warranties or conditions of any kind, either express or implied, including, without limitation, any warranties or conditions of title, non-infringement, merchantability, or fitness for a particular purpose.
  6. Third-Party Intellectual Property. If Contributor desires to submit anything that is not Contributor’s original work, Contributor may submit such third party work to Connamara provided that (i) such work is separate from any other submission; (ii) such submission identifies the complete details of such work’s source and provides any license or other restrictions (including related patents, trademarks, and license agreements) that, to Contributor’s knowledge, exist, and (iii) conspicuously marks the work as "Submitted on behalf of a third-party: [named here]".
  7. Connamara’s Obligation. Connamara agrees that if Connamara distributes any Contributions, Connamara will distribute such Contributions under an OSI-approved open source license.
  8. Miscellaneous. Contributor agrees to notify Connamara of any facts or circumstances of which Contributor becomes aware that would make the representations made in this Agreement inaccurate in any respect. If Contributor is an entity, it is Contributor’s responsibility to notify Connamara when any change is required to the list of designated employees authorized to submit Contributions on behalf of Contributor, or to Contributor's point of contact with Connamara, if applicable.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first set forth above.
