XUP Terms of Donation
PLEASE READ CAREFULLY BEFORE SUBMITTING REQUEST
All Xilinx University Program (XUP) donations are exclusively for the
purpose of academic research and/or instruction at academic
institutions and are subject to the following terms and conditions:
1) The donation request must be submitted by a professor, instructor,
or school staff member (School Representative). Academic affiliation
will be verified on all requests. (Only requests with a valid academic
email address, e.g., “.edu,” will be considered.)
2) Donations are made by Xilinx, Inc. to the academic institution, in
care of the School Representative requesting the donation. Donations
will not be made to, and requests will not be considered from,
professors, instructors, or staff members acting in their personal
capacities. Donations are never made to, or in the care of, students
of the academic institution.
3) For donations outside the U.S.A., the academic institution is
responsible for paying all import duties, tariffs, and special
handling fees which may exist. If shipment is refused and/or returned
no further shipments will be sent to the institution.
4) If requested, the School Representative will ensure that the
“Donation Acknowledgment” letter confirming receipt of the donated
products is completed and returned to XUP.
5) Recipients of donated Xilinx software agree to keep the software
under a current support contract either through a paid or donated
annual maintenance contract. If seeking a XUP donation, please submit
your request early so that it may be reviewed and processed before
your support term expires.
6) All donated Xilinx products are to be used and incorporated into
the academic research, course(s), and/or lab(s) for which they are
donated. Donations are not for commercial activities. Donations are
not for re-sale.
7) Recipient institution grants a worldwide, royalty-free,
transferable, sub-licensable, perpetual license to Xilinx, Inc. on any
intellectual property rights, including but not limited to rights
under patents, copyrights, mask works, and trade secrets, derived
from, or related to, Xilinx products, technology, or confidential
information to which the recipient institution obtains access in to
under the XUP (the “Derivatives”); provided however, that institution
shall have no obligation to disclose or provide such Derivatives to
Xilinx.
8) If requested, the School Representative agrees to share relevant
teaching materials with XUP. If deemed appropriate, XUP may
disseminate materials to other XUP member institutes.
9) If contacted, the School Representative agrees to participate in
XUP surveys (this may be by phone or online).
10) Export Compliance: Recipients and users of Xilinx products,
services and technology shall adhere to all applicable export laws and
regulations, including those administered by the US Department of
Commerce (U.S. Administration Regulations 15 CFR 730 et seq.) and
shall not export, re-export, resell, transfer, or disclose, directly
or indirectly, any technical data or products, or the product of such
technical data or products, to any proscribed person, entity, or
country, or foreign national thereof, unless properly authorized by
the US government.
11) All requests are subject to review and approval by the XUP
committee. XUP reserves the right to limit donations and/or deny a
request.
12) In addition to the terms and conditions contained herein, use of
donated products is subject to any additional terms and disclaimers
contained on order acknowledgment or invoice documents; standard
disclaimers can be found on the Xilinx Internet homepage
(www.xilinx.com) under Legal.
13) By clicking “Accept,” “Agree,” or “Yes, I agree,” you agree on
behalf of your academic institution to be bound by the XUP Terms of
Donation and you certify that any Xilinx product(s) you receive will
not be used in any nuclear, chemical or biological, missile
technology, significant item, or crime control applications. If you do
not agree to all of the terms and conditions of the Terms of Donation,
do not click the “Accept,” “Agree,” or “Yes, I agree” button.
All information provided is accurate to the best of my knowledge and I
agree to the XUP Terms of Donation.
All requests are subject to review and approval by the XUP
committee. XUP reserves the right to limit donations and/or deny a
request.
