End User License Agreement (EULA) of TriaClick

This End-User License Agreement ("EULA") is a legal agreement between you and Athanassios I. Hatzis, the "Licensor"

Please read this EULA agreement carefully before completing the installation process and using TriaClick Software. It provides a license to use TriaClick Software and contains warranty information and liability disclaimers.

If you register for a free trial of TriaClick Software, this EULA agreement will also govern that trial. By installing and/or using TriaClick Software, you are confirming your acceptance of TriaClick Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to TriaClick Software supplied by the Licensor herewith regardless of whether other software is referred to or described herein. The terms also apply to any updates, supplements, Internet-based services, and support services for TriaClick Software, unless other terms accompany those items on delivery. If so, those terms apply.

1. License Grant

The software, python binary files, documentation and testing files accompanying this License whether on disk, on any other media or in any other form (collectively the “TriaClick Software”) are licensed, not sold, to you by HEALIS.EU (“HEALIS”) for use only under the terms of this License. Subject to the terms and conditions of this License Agreement, HEALIS grants you a personal, non-exclusive, non-transferable, worldwide license to use TriaClick Software on your devices in accordance with the terms of this EULA agreement.

2. Intellectual Property and Ownership

Athanassios I. Hatzis ("Licensor") reserves all rights to TriaClick Software not expressly granted to you. The Licensor shall at all times retain ownership of TriaClick Software as originally downloaded by you and all subsequent downloads. The TriaClick Software (and the copyright, and other intellectual property rights of whatever nature in TriaClick Software, including any modifications made thereto) are and shall remain the property of the Licensor.

3 Permitted License Uses and Restrictions

  • 3.1 User shall not, and shall not permit any third party to: modify or create any derivative work of any part of the Licensed Materials; permit any third parties to use the Licensed Materials; market, sublicense, publish, distribute, reproduce, assign, transfer, rent, lease or loan the Licensed Materials; or use the Licensed Materials for commercial time-sharing or service bureau use.

  • 3.3 You may not copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the TriaClick Software or any part thereof. Any attempt to do so is a violation of the rights of HEALIS.EU and its Licensor. If you breach this restriction, you may be subject to prosecution and damages.

4. Termination.

This EULA agreement is effective from the date you first use TriaClick Software and shall continue until terminated. You may terminate it at any time upon written notice to HEALIS. It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of TriaClick Software.

5. Disclaimer of Warranties.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU.

6. Limitation of Liability.

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL THE Licensor BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE
