# Jubatus Contributor License Agreement

Thank you for your interest in Jubatus project (hereinafter referred to as "Jubatus") which Jubatus community handles.

In order to clarify the intellectual property license granted with Contributions from any person or entity, Jubatus community must have a Contributor License Agreement ("CLA") on file that has been signed by each Contributor, indicating agreement to the license terms below.

This license is for your protection as a Contributor as well as the protection of Jubatus community; it does not change your rights to use your own Contributions for any other purpose.

This license is applied to projects which Jubatus community develops.

Except for the license granted herein to Jubatus community and recipients of software distributed by Jubatus community, You reserve all right, title, and interest in and to Your Contributions.

You accept and agree to the following terms and conditions for Your present and future Contributions submitted to Jubatus community.

If you can agree to the following provisions, please confirm this form.

If you are employed as a software engineer, or if your employer is a software development industry, or if your employer can assert rights to contribution for open source projects, please let us know about your workplace policy and, if necessary, contact information on this matter  by e-mailing to  <jubatus-team @ googlegroups.com>.

## 1. Definitions.

### You

"You" (or "Your") shall mean the copyright owner or legal entity authorized by the copyright owner that is making this Agreement with Jubatus community.

For legal entities, the entity making a Contribution and all other entities that control, are controlled by, or are under common control with that entity are considered to be a single Contributor.

For the purposes of this definition, "control" means (i) the power, direct or indirect, to cause the direction or management of such entity, whether by contract or otherwise, or (ii) ownership of fifty percent (50%) or more of the outstanding shares, or (iii) beneficial ownership of such entity.

### Contribution

"Contribution" shall mean any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to Jubatus community for inclusion in, or documentation of, any of the products owned or managed by Jubatus community (the "Work").

For the purposes of this definition, "submitted" means any form of electronic, verbal, or written communication sent to Jubatus community or its representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, Jubatus community for the purpose of discussing and improving the Work, but excluding communication that is conspicuously marked or otherwise designated in writing by You as "Not a Contribution."

## 2. Grant of Copyright License.

Subject to the terms and conditions of this Agreement, You hereby grant to Jubatus community and to recipients of software distributed by Jubatus community a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.

## 3. Grant of Patent License.

Subject to the terms and conditions of this Agreement, You hereby grant to Jubatus community and to recipients of software distributed by Jubatus community a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Work, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Work to which such Contribution(s) was submitted.

If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that your Contribution, or the Work to which you have contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Work shall terminate as of the date such litigation is filed.

## 4. You represent that you are legally entitled to grant the above license.If your employer(s) has rights to intellectual property that you create that includes your Contributions, you represent that you have received permission to make Contributions on behalf of that employer, that your employer has waived such rights for your Contributions to Jubatus community, or that your employer has executed a separate Corporate CLA with Jubatus community.

## 5.You represent that each of Your Contributions is Your original creation (see section 7 for submissions on behalf of others).You represent that Your Contribution submissions include complete details of any third-party license or other restriction (including, but not limited to, related patents and trademarks) of which you are personally aware and which are associated with any part of Your Contributions.

## 6. You are not expected to provide support for Your Contributions, except to the extent You desire to provide support. You may provide support for free, for a fee, or not at all.Unless required by applicable law or agreed to in writing, You provide Your Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

## 7. Should You wish to submit work that is not Your original creation, You may submit it to Jubatus community separately from any Contribution, identifying the complete details of its source and of any license or other restriction (including, but not limited to, related patents, trademarks, and license agreements) of which you are personally aware, and conspicuously marking the work as "Submitted on behalf of a third-party: [[named here]]".

## 8. You agree to notify Jubatus community of any facts or circumstances of which you become aware that would make these representations inaccurate in any respect.

	If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that your Contribution, or the Work to which you have contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Work shall terminate as of the date such litigation is filed.

	## 4. You represent that you are legally entitled to grant the above license.If your employer(s) has rights to intellectual property that you create that includes your Contributions, you represent that you have received permission to make Contributions on behalf of that employer, that your employer has waived such rights for your Contributions to Jubatus community, or that your employer has executed a separate Corporate CLA with Jubatus community.

	## 5.You represent that each of Your Contributions is Your original creation (see section 7 for submissions on behalf of others).You represent that Your Contribution submissions include complete details of any third-party license or other restriction (including, but not limited to, related patents and trademarks) of which you are personally aware and which are associated with any part of Your Contributions.

	## 6. You are not expected to provide support for Your Contributions, except to the extent You desire to provide support. You may provide support for free, for a fee, or not at all.Unless required by applicable law or agreed to in writing, You provide Your Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

	## 7. Should You wish to submit work that is not Your original creation, You may submit it to Jubatus community separately from any Contribution, identifying the complete details of its source and of any license or other restriction (including, but not limited to, related patents, trademarks, and license agreements) of which you are personally aware, and conspicuously marking the work as "Submitted on behalf of a third-party: [[named here]]".

	## 8. You agree to notify Jubatus community of any facts or circumstances of which you become aware that would make these representations inaccurate in any respect.
	# Jubatus 貢献者ライセンス同意書

	Jubatusコミュニティが運営するオープンソースプロジェクト (以下、「Jubatus」といいます。) に関心をお寄せいただき、ありがとうございます。

	貢献者によるプロジェクトへの貢献について、知的財産権の許諾を得ていることを明確にするため、Jubatusコミュニティは、各貢献者が署名した「貢献者ライセンス同意書」(以下「この契約」といいます。) を保存しておく必要があります。

	なお、この契約は、あなたがプロジェクトへの貢献を他の目的のために使用する権利を制限するものではありません。

	この契約は、Jubatusコミュニティが開発しているオープンソースプロジェクトに適用されます。

	JubatusコミュニティやJubatusコミュニティによって配布されたソフトウェアの受領者に対してライセンスされた分を除いて、あなたは貢献に対し全ての権利・権原・所有権を持っています。

	あなたは今後Jubatusコミュニティに対して投稿するコードコントリビューションについて以下の条項・条件を了承し同意します。

	あなたがソフトウェアエンジニアとして雇用されている場合や、あなたの勤務先がソフトウェア開発業である場合など、あなたの勤務先が貢献に対して権利を主張しうる場合には、オープンソースプロジェクトへの貢献に関するあなたの勤務先のポリシーと、必要があれば本件に関する連絡先をメールにて<jubatus-team @ googlegroups.com>までお知らせください。

	## 1. 定義

	### あなた

	"あなた"とは著作権の所有者もしくは著作権の保有者として見なされる法的な主体であって、この契約を Jubatusコミュニティと締結する者を意味します。

	法的な主体としては、貢献を行う主体やその主体によってコントロールされているその他全ても全て単一のコントリビュータとして判断をします。

	この定義の目的において、コントロールとは(i)直接的・間接的を問わず契約その他に基づいて主体に対し指示や管理をする事、(ii)50%以上の所有権を持つ事、(iii)主体に対し受益権を持つ事、を意味します。

	### 貢献

	"貢献"とはあなたが制作または創作し、プロジェクトに関連してJubatusコミュニティに提出した、ソフトウェア、バグ修正パッチ、設定の変更、ドキュメントおよびその他の創作物を意味します。

	この定義の目的において、提出とは電子的、口語、文語を問わずJubatusコミュニティもしくはその代表者に何らかのコミュニケーションを送る事を意味し、これはJubatusコミュニティやその代理人がJubatusの改善や議論のために管理するメーリングリストやソースコードコントロールシステムやissueトラッキングシステム上でのコミュニケーションを含みますがそれに限られません。しかしあなたが明示的に"貢献ではない"と指定した物を含みません。

	## 2. 著作権の許諾

	この合意書の文面と条件に基づいて、あなたはJubatusコミュニティに対して、永続、非独占、取消不能、世界中で、無償かつロイヤリティなしでの、貢献を自由に使用するライセンスを許諾します。
	このライセンスには、あなたの貢献およびその派生物を使用、複製、その派生物の作成、翻案、実演、ならびにあらゆるライセンス条項での一般公開、送信可能化、サブライセンスおよび再配布する権利を含みます。

	## 3. 特許の許諾

	この合意書の文面と条件に基づいて、あなたはJubatusコミュニティおよびJubatusコミュニティから配布されたソフトウェアの受領者に対して、永続、非独占、取消不能 (本条に規定されるものを除く)世界中で、無償かつロイヤリティなしでの、特許の実施ライセンスを許諾します。このライセンスは、特許対象の自らまたは第三者による製品化、使用、販売の申し出、販売、輸出または輸入および譲渡を含みます。
	ただし、このライセンスはあなたがライセンス可能であり、なおかつあなたの貢献単体及びあなたの貢献とJubatusとの組み合わせによって必然的に侵害される特許請求だけに適用されます。

	あなたまたは第三者に対しあなたの貢献またはあなたが貢献したソフトウェアに関して特許訴訟(交差請求や反訴を含み、また直接または間接かを問いません)を提訴した者は、当該訴訟の提訴日をもって、この契約の下で許諾された当該貢献またはソフトウェアに関するすべての特許ライセンスが終了します。

	## 4. あなたは、上記ライセンスを許諾する法的権限を有することを表明します。あなたの雇用者が貢献を含むあなたの創作について知的財産権を有する場合は、あなたは、あなたが当該雇用者に代わって貢献を行う許可を得ており、当該雇用者はあなたの貢献に対する知的財産権についてJubatusコミュニティに対して放棄するか、もしくはJubatusコミュニティとが個別に企業ライセンス同意書を交わしている事を表明します。

	## 5.あなたは、あなたの貢献があなた自身の創作であることを表明します(他者の代理として提出する際には7条をご覧ください)。
	あなたは、貢献をプロジェクトに提出する際には、あなたが個人的に知る範囲で当該貢献の何らかの部分に関連した第三者のライセンスまたは他の制限 (特許及び商標を含みますがこれに限りません) に関する完全な説明を含めることを表明します。

	## 6. あなたは、自身の貢献について、あなたがサポートを提供したいと思わない限り、サポートを提供しなくても構いません。あなたは、サポートを無償ででも有償ででも提供できます。法令で要求されたり文書での合意がない限り、あなたは貢献を"AS IS"ベースで、いかなる種類の保証も条件も付けずに提供します。これには、明示または黙示を問わず、権原、否侵害性、商品性または特定目的への適合性のあらゆる保証や条件を含みますが、これに限りません。

	## 7. あなた自身の著作物でない物を提出する場合、全ての貢献とは別個にあなたが知る限りの出典や何らかのライセンスやその他の制限（これは特許・商標・ライセンス合意を含みますがそれらに限りません）に関する完全な詳細を提出することで可能となります。その場合あなたはそれらについて"以下のサードパーティの代理として提出する: [ここに名前を書く]"と明示する必要があります。

	## 8. あなたは、上記の表明のいずれかが満たせなくなるような事実または状況が発生した場合には、Jubatusコミュニティに通知することに同意します。
