This Agreement is made in the Russian and English languages. The English text of Agreement is for informational purposes only and is not binding for the Parties.
In the event of a conflict between the provisions of the Russian and English versions of this Agreement, the Russian version shall prevail.
This document represents the offer of “Sberbank real estate center” Limited Liability Company (“DomClick”) to the Contributor to conclude this license agreement as follows (“Agreement”).
In accordance with Art. 435, Art. 438 of the Civil Code of the Russian Federation, this Agreement is an offer and in case of acceptance of the offer, an agreement is considered concluded on the conditions specified in the offer.
The acceptance of the offer shall be the signing of the Agreement on the website https://cla-assistant.io/, by clicking on the "Sign in with GitHub" button.
Contributor expresses its full and unconditional consent to all provisions of the Agreement in respect of all Contributes present, future, and provided prior to the Date of signing of the Agreement.
The Parties shall be guided by the following terms and their definitions given hereunder:
"Date of receipt of Contributes" shall mean the date on which the Contributes are uploaded to the DomClik's corporate account on the GitHub Services.
"Date of signing of the Agreement" shall mean the date on which the Contributor agreed to the terms of the Agreement on the https://cla-assistant.io/ website by clicking on the "Sign in with GitHub" button and accept the terms of the Agreement.
"DomClick" shall mean “Sberbank real estate center” Limited Liability Company, which registered under laws of the Russian Federation (OGRN 1157746652150) located at: 121170, Moscow, Kutuzovsky Prospect, 32, building 1
"Contributor" shall mean a person who provides Contributes on DomClick's corporate accounts on the GitHub Services and agrees with all the provisions of this Agreement. A Сontributor can be: 1) an individual; or 2) a legal entity or an individual entrepreneur in case when an individual on behalf of third parties, including on behalf of the employer, provides Contributes.
"Contributes" shall mean results of intellectual activity (including, but not limited to, source code, libraries, components, texts, documentation) which can be software or elements of the software and which are provided by Contributor.
"DomClick's corporate account on the GitHub Services" shall mean the workspace on the GitHub Services that is associated with DomClick, including the workspace in which the Programs with copyright notice (Copyright ©, “Sberbank real estate center” Limited Liability Company) are posted.
"Programs" shall mean software developed by DomClick or third parties as instructed by DomClick and which are offered under the MIT license. The term "Programs" shall mean both Programs and their components, as well as libraries. Programs are computer programs as defined in the Civil Code of the Russian Federation.
"GitHub Services" shall mean the Internet service at https://github.com/ for hosting IT projects and their joint development.
"Agreement" shall mean this agreement to grant
rights to use the results of intellectual activity, made by and between
Contributor and DomClick.
"Parties" shall mean Contributor or DomClick collectively.
Contributor grants to DomClick the right to use Contributes at its own discretion and without any necessity to get a prior approval from Contributor or any other third party in any way, under a simple (non-exclusive), royalty-free, irrevocable license throughout the world by all means not contrary to law (hereinafter -- the "License"), including , but not limited to:
3.1. use Contributes in Programs, products or services of DomClick with open and closed source code; in whole or in part;
3.2. change, reduce and expand Contributes, add comments, illustrations or any explanations to Contributes while using them;
3.3. create other Contribute-based results of intellectual activity, including derivative works and composite works;
3.4. translate Contributes into other languages, including other programming languages;
3.5. use Contributes under the trade name and/or any trademark (service mark) of DomClick or any other label as DomClick thinks fit;
3.6. distribute, import and make available to the public Contributes including as part of Programs, products or services of DomClick;
3.7. carry out rental and publicly display of Contributes including as part of Programs, products or services of DomClick.
The license is provided for the entire duration of Contributor's exclusive right to Contributes.
The provision of Contributes is carried out by the Contributor providing Contributes in electronic form on DomClick's corporate accounts on the GitHub Services.
Contributes are considered to be provided to DomClick from the Date of receipt of Contributes.
Contributor reserves the right to use Contributes by any lawful means not contrary to this Agreement.
When using Contributes, DomClick has no obligation to provide any reports on the use of Contributes to Contributor or any other third party.
Contributor makes the following representations and warranties to DomClick, which DomClick construes as essential for DomClick and upon which DomClick relies in the conclusion and implementation of the Agreement:
7.1. Contributor have all rights and legal capacity needed to sign this Agreement;
7.2. Contributes provided by Contributor to DomClick were developed (created) by Contributor except for Contributes, exclusive rights to which are vested in other parties (rightholders), but which, according to such rightholders' direct expression of will, are distributed freely with no need to secure the rightholders' approval and with no remuneration payable to them, and Contributor uses such Contributes (inter alia, to provide them to DomClick) on legal grounds;
7.3. Contributes are not subject to any third-party rights, including rights of the Contributor's employer, or provided by Contributor with the consent of such third parties;
7.4. Contributor has secured the consent of all authors (rightholders) of the results of intellectual activity being part of Contributes for DomClick to use them by all means listed herein;
7.5. any further use of Contributes by DomClick as provided by Contributor to DomClick does not infringe on intellectual and any other rights and legitimate interests of third parties, including the Contributor's employer.
7.6. Contributor or beneficial owner of Contributor is not a foreign public official, an official of public international organizations, a public official of the Russian Federation.
If any claims and/or legal actions are filed against DomClick for its use of Contributes, Contributor undertakes to compensate all property losses of DomClick which result from such claims and/or legal actions. The amount of compensation of such property losses shall be determined according to documents confirming relevant payments made by DomClick to third parties to resolve claims or legal actions or DomClick's obligation to make such payments (including, but not limited to final and binding judicial decisions, writs of execution, decisions, regulations and other law-enforcement acts of public or municipal bodies).
The Agreement is governed and construed in accordance with the laws of Russian Federation.
If the Parties fail to agree on disputable issues, disputes shall be referred to the Moscow Arbitration court.
If one or more provisions of the Agreement are invalidated, such invalidity shall not affect the validity of any other provision of the Agreement and the Agreement as a whole.

In the event of a conflict between the provisions of the Russian and English versions of this Agreement, the Russian version shall prevail.
The Agreement is deemed to become effective from the Date of signing of the Agreement.
If Contributor has already provided the Contributes to DomClick at the Date of signing of the Agreement, the provisions of the Agreement shall apply to relations of the Parties which had arisen before the Date of signing of the Agreement, since the Date of receipt of Contributes by DomClick.
15. By clicking on the "Sign in with GitHub" button, Contributor accepts and agrees to the terms of this Agreement.
Contributor guarantees that Contributor has ownership of intellectual property rights to Contributes, is not providing Contributes in the course of activities on behalf of third parties, including on behalf of the employer and is not taking actions for the benefit of third parties.
In case when the Contributor provides Contributes in the course of activities on behalf of third parties, including on behalf of the employer, Contributor guarantees that he has all the necessary authority to conclude the Agreement and permission from third parties, including employer, to provide Contributes on behalf of my employer.
Настоящий документ представляет собой предложение Общества с ограниченной ответственностью «Центр недвижимости от Сбербанка» («ДомКлик») в адрес Контрибьютора, заключить настоящее лицензионное соглашение о нижеследующем («Соглашение»).
В соответствии со ст. ст. 435, 438 Гражданского кодекса Российской Федерации, настоящее Соглашение является офертой, в случае акцепта оферты договор считается заключённым на условиях, указанных в оферте.
Акцептом оферты является подписание Соглашения на сайте https://cla-assistant.io/, путем нажатия на кнопку «Sign in with GitHub».
Контрибьютор выражает свое полное и безоговорочное согласие со всеми положениями Соглашения для уже предоставленных, настоящего и будущих Контрибьютов с Даты подписания Соглашения.
Стороны руководствуются следующими терминами и их определениями в рамках Соглашения:
«Дата получения Контрибьютов» – дата, в которую Контрибьюты загружены на корпоративный аккаунт ДомКлик в Сервисе GitHub.
«Дата подписания Соглашения» – дата, в которую Контрибьютор согласился с условиями Соглашения на сайте https://cla-assistant.io/, нажав на кнопку «Sign in with GitHub» и принял условия Соглашения.
«ДомКлик» – Общество с ограниченной ответственностью «Центр недвижимости от Сбербанка» (ООО «ЦНС»), зарегистрированное в Российской Федерации (ОГРН 1157746652150) по адресу: 121170, г. Москва, Кутузовский проспект д. 32 к. 1.
«Контрибьютор» – лицо, размещающее Контрибьюты на корпоративных аккаунтах ДомКлик в Сервисе GitHub и согласившееся с условиями Соглашения. Контрибьютором могут быть: 1) физическое лицо; или 2) юридическое лицо или индивидуальный предприниматель, в случае когда Контрибьюты предоставляются физическим лицом от имени третьих лиц, в том числе от имени работодателя.
«Контрибьюты» – результаты интеллектуальной деятельности (включая исходный код, библиотеки, компоненты, тексты, документация), которые могут являться программами для ЭВМ или элементами программ для ЭВМ и которые предоставляются Контрибьютором.
«Корпоративные аккаунты ДомКлик в Сервисе GitHub» – рабочее пространство в Cервисе GitHub, которое связано с ДомКлик, в том числе рабочее пространство, в котором выложены Программы с уведомлением об авторских правах (Copyright ©, «Sberbank real estate center» Limited Liability Company).
«Программы» – программное обеспечение, создаваемое ДомКлик или третьими лицами по заказу ДомКлик, которое распространяется под лицензией MIT. Термин Программы подразумевает под собой как Программы, так и их составные компоненты, а также библиотеки. Программы являются программами для ЭВМ в понимании Гражданского Кодекса Российской Федерации.
«Cервис GitHub» – интернет-сервис по ссылке https://github.com/ для хостинга IT-проектов и их совместной разработки.
«Соглашение» – настоящее соглашение о предоставлении прав использования результатов интеллектуальной деятельности, заключенное между Контрибьютором и ДомКлик.
«Стороны» – Контрибьютор и ДомКлик именуемые совместно.
Контрибьютор предоставляет ДомКлик право использовать Контрибьюты по собственному усмотрению и без необходимости предварительного согласования с Контрибьютором или иным третьим лицом на условиях простой (неисключительной) безвозмездной безотзывной лицензии на территории всего мира любыми способами, не противоречащими закону (далее по тексту – «Лицензия»), в том числе:
3.1. использовать Контрибьюты в Программах, продуктах или сервисах ДомКлик как с открытым, так и с закрытым исходным кодом; полностью или фрагментарно;
3.2. вносить в Контрибьюты изменения, сокращения и дополнения, снабжать Контрибьюты при их использовании комментариями, иллюстрациями или пояснениями;
3.3. создавать на основе Контрибьютов иные результаты интеллектуальной деятельности, в том числе производные и составные произведения;
3.4. переводить Контрибьюты на другие языки, в том числе на другие языки программирования;
3.5. использовать Контрибьюты под фирменным наименованием и/или любым товарным знаком (знаком обслуживания) ДомКлик или иным обозначением на усмотрение ДомКлик;
3.6. распространять, импортировать и доводить до всеобщего сведения Контрибьюты, в том числе в составе Программ, продуктов или сервисов ДомКлик;
3.7. осуществлять прокат и публичный показ Контрибьютов, в том числе в составе Программ, продуктов или сервисов ДомКлик.
Лицензия предоставляется на весь срок действия исключительного права на Контрибьюты. Предоставление Контрибьютов осуществляется путем размещения Контрибьютов в электронном виде на корпоративных аккаунтах ДомКлик в Сервисе GitHub. Контрибьюты считаются предоставленными ДомКлик с Даты получения Контрибьютов.
Контрибьютор сохраняет за собой право использовать Контрибьюты любым законным способом, не противоречащим настоящему Cоглашению.
При использовании Контрибьютов ДомКлик не обязан предоставлять Контрибьютору или иному третьему лицу какую-либо отчетность об использовании Контрибьютов.
Контрибьютор дает ДомКлик следующие заверения об обстоятельствах, которые ДомКлик рассматривает как имеющие существенное значение для ДомКлик, и на которые ДомКлик полагается при заключении и исполнении Соглашения:
7.1. Контрибьютор является дееспособным лицом и обладает всеми необходимыми правами для подписания Соглашения;
7.2. предоставляемые Контрибьютором ДомКлик Контрибьюты разработаны (созданы) Контрибьютором, за исключением Контрибьютов, исключительные права на которые принадлежат другим лицам (правообладателям), но которые по прямому волеизъявлению таких правообладателей распространяются свободно без необходимости согласования с правообладателями и без выплаты им вознаграждения, и Контрибьютор использует такие Контрибьюты (в том числе для предоставления их ДомКлик) на законных основаниях;
7.3. Контрибьюты не обременены какими-либо правами третьих лиц, в том числе правами работодателя Контрибьютора, либо предоставляются Контрибьютором с согласия таких третьих лиц;
7.4. Контрибьютором получено согласие авторов (правообладателей) результатов интеллектуальной деятельности, вошедших в состав Контрибьютов, на их использование ДомКлик всеми способами, перечисленными в Соглашении;
7.5. дальнейшее использование Контрибьютов ДомКлик в том виде, в котором они предоставляются Контрибьютором ДомКлик, не нарушает интеллектуальных и иных прав, а также законных интересов третьих лиц, в том числе работодателя Контрибьютора.
В случае предъявления каких-либо претензий и/или исков к ДомКлик за использование ДомКлик Контрибьютов, Контрибьютор обязуется возместить все имущественные потери ДомКлик, возникшие в результате предъявления претензий и/или исков. Размер возмещения таких имущественных потерь определяется в соответствии с документами, подтверждающими осуществление ДомКлик соответствующих выплат в пользу третьих лиц при урегулировании ДомКлик претензий или исков, либо обязанность ДомКлик осуществить такие выплаты (включая вступившие в законную силу судебные решения, исполнительные листы, решения, предписания и иные правоприменительные акты государственных или муниципальных органов).
Соглашение регулируется и толкуется в соответствии с правом Российской Федерации.
В случае если Стороны не придут к согласию по спорным вопросам, спор подлежит рассмотрению в Арбитражном суде города Москвы.
В случае если одно или более положений Соглашения будут признаны недействительными, такая недействительность не оказывает влияния на действительность любого другого положения Соглашения и Соглашения в целом.
Соглашение составлено на русском и английском языках. Текст Соглашения на английском языке служит исключительно для ознакомительных целей и не носит обязательного характера для Сторон.
В случае противоречия между положениями версии Соглашения на русском языке и положениями версии Соглашения на английском языке, преимущественную силу имеют положения на русском языке.
Соглашение признается вступившим в силу с Даты подписания Соглашения.
Если на Дату подписания Соглашения Контрибьютором Контрибьютор уже предоставил ДомКлик Контрибьюты, положения Соглашения распространяют свое действие на отношения Сторон, возникшие до Даты подписания Соглашения, начиная с Даты получения Контрибьютов ДомКлик.
15. Нажимая на кнопку «Sign in with GitHub» Котрибьютор принимает и соглашается с условиями Соглашения.
Контрибьютор подтверждает, что обладает исключительными правами на Контрибьюты и не предоставляет Контрибьюты при осуществлении деятельности от имени третьих лиц, в том числе от имени работодателя.
В том случае, если Контрибьютор предоставляет Контрибьюты от имени третьих лиц, в том числе от имени работодателя, Контрибьютор подтверждает, что обладает всеми необходимыми полномочиями для заключения Соглашения и разрешениями от имени третьих лиц, в том числе от имени работодателя, предоставлять Контрибьюты от их имени.
