Google's YouTube channel for Webmasters offers an informative glimpse into the world of the company's mysterious algorithm.

FORTUNE -- Google is notoriously (and understandably) tight-lipped about the details of its algorithm -- the formula that determines how search results are presented. But the company also seems to genuinely try to help explain, to the extent that it safely can and in broad terms, the thinking that goes into how it tweaks the algorithm to return the most relevant results.

This is far from a simple proposition. Figuring out what millions of searchers are looking for and matching them with the best possible results for each of their particular needs is an incredibly complex undertaking. The people who most want to know how it all works are, of course, Webmasters. For them, Google (GOOG) has a YouTube channel called GoogleWebmasterHelp that offers short videos responding to user questions. That it's for Webmasters shouldn't dissuade all interested parties from checking it out -- the explanations are pretty clear and often enlightening.

Tuesday's entry takes on a basic issue: "Does Google try to return results based on signals other than popularity?"

We should hope so, because if popularity alone drove results, searches on "particle physics," "birdwatching" and "tennis tips" would yield nothing but porn and stuff about Lindsay Lohan. "A lot of people visit porn sites," says the video's host, "but very few link to porn sites." He says that "reputation is different from popularity and PageRank codes that pretty well."

This might be somewhat disingenuous. Many, many people link to porn sites. In fact, much of that industry relies on so-called thumbnail sites to drive traffic. There is clearly something else at work that pushes porn results down, which of course is preferable for most of us who aren't looking for porn. Note for example that searching on "redhead" returns all kinds of non-porn-related sites at the top of the results. We must assume that a huge number of sites link that term to porn, but somehow, they are filtered out, meaning that porn-searchers would have to be more specific in their search. Good.

Interestingly, the host also notes that if, for a particular search, Google doesn't satisfy, there are options. "If Google isn't doing a good job, I do think that Bing (MSFT) or Blekko or Duck Duck Go or other search engines in the space will explore and find other ways to return things."

By Kevin Kelleher, contributor

FORTUNE -- If a company stays on the auction block long enough, rumors about its fate will eventually begin to repeat themselves. In 2008, while Yahoo co-founder Jerry Yang insisted the web giant wasn't for sale, Microsoft emerged as a suitor. Then Google got involved.

Fast forward to 2011 and here's Jerry Yang again downplaying reports of a Yahoo (YHOO) acquisition. Among the suitors is, again, Microsoft (MSFT), only this time it's reportedly bankrolling a deal by joint buyers. And as the day follows the dawn, reports followed quickly that Google (GOOG) is also interested in financing private investors looking to buy Yahoo.

There are plenty of reasons a Google-backed deal would not pan out. First, the Wall Street Journal story reporting the possibility was based on a single source -- that elusive "person familiar with the matter" -- who said that "Google may end up not pursuing a bid." Then there are the antitrust concerns: the Department of Justice shot down the 2008 search partnership Google wanted to arrange with Yahoo. The government would surely take a close look at any moves backed by Google. And then there are the strategic reasons -- or lack of them. Much of Google's future is focused on social and mobile -- and Yahoo is weaker in both.

Still, that doesn't mean there's no virtue for Google in saving Yahoo. Here are six possible scenarios in which it might actually be a good idea:

Google is throwing sand in the gears of another deal. The most cited theory is that Google wants to drive up the price for Microsoft or another bidder. A simple phone call by someone familiar with the matter to a reporter is all it would take. Yahoo's stock rose 4% Monday following the report. The risk in this move is that this slight rise in Yahoo's share price won't last long. In other words, this report would at best delay a Microsoft-backed deal. Much more likely is that Google would try to get into the Yahoo-takeover mix to give Microsoft second thoughts -- or even drive it away if it's on the fence. It could also deter smaller third parties from pursuing their own bid at all.

Google wants a bigger presence in display ads. Revenue from display ads are disappointing at Yahoo but they're growing at Google, which is making $2.5 billion a year from them. Yahoo, however, has deep relationships with the web's biggest advertisers as well as many popular sites. If putting Google's money into Yahoo could open up access to Yahoo's display customers, Google could see more display growth. Such a move would surely set off antitrust alarms.

Yahoo could bring more users to Google+. For most people, Facebook is still the go-to place to socialize with friends online. Google+ has signed up 40 million users in a few months, but that's only 5% of Facebook's 800 million active users. What Google needs is access to more active accounts -- and Yahoo still has a lot of them. Yahoo, meanwhile, is even further behind Google when it comes to having a social-networking infrastructure. Since social networks rely on big numbers of users, corralling Yahoo members into Google+ would help Google build a strong rival to Facebook.

Google wants a closer look at Yahoo. When investors enter serious takeover talks with a company, they often demand a look at its financials and performance metrics. By backing some private equity investors who might otherwise have trouble raising money, Google can have access to all that data, even if the talks eventually fall through. There may not be much of Yahoo's data that is crucial for Google to know, but there's plenty that could be helpful: How is Yahoo's search partnership with Microsoft really faring? Where is Yahoo's display business strong, and where is it weak? What insights does Yahoo have in international markets, particularly Asia? What's more, if Microsoft is involved in a takeover bid, it may have access to this same data. So why shouldn't Google have access too?

Yahoo offers Google a backdoor to China. Google's history in China is a rocky one, culminating in the company's decision to shut down its China operations last year. But one of Yahoo's strengths is its assets in China, including its 40% stake in Alibaba.

The truly speculative will consider this: If Google owned a stake in Yahoo, it would indirectly own a stake in Alibaba, one of China's Internet giants. That could offer a way back into a growing market. It could also derail any chance that Alibaba would buy Yahoo. If Jack Ma controlled Yahoo, he could undercut Google on everything from online payment fees to search and display ad rates. Far-fetched? Sure, but coincidentally or not, Google said Monday that China renewed its operating license in the country. And the former head of Google China said on Quora that Alibaba and Ma aren't suited to manage Yahoo. It's hard not to read that and think, "but Google is."

Investing in Yahoo will keep antitrust regulators off Google's back. Google may be interested in helping Yahoo to thrive to lessen its chance of becoming a search monopoly. Without Yahoo around, Google could become so powerful in search and display ads that antitrust regulators end up doing more harm than a revitalized Yahoo ever could.

There is a precedent for such a move. In 1997, Microsoft invested $150 million in a struggling Apple (AAPL). Ostensibly, the investment was to encourage Apple to install Office and Internet Explorer onto Mac computers, but it also served to keep antitrust regulators at bay. (A side note: Microsoft later sold off its Apple shares, which would be worth several billion dollars today).

Yahoo's future is unpredictable, so much so it seems like any outcome is possible at this point: A merger with AOL (AOL), a takeover by Jack Ma, a buyout by private equity firms financed in part by Microsoft, or Google, or someone else. But one thing that is growing less likely is the scenario that Jerry Yang wants -- an independent Yahoo.

FORTUNE -- Google (GOOG) makes a lot of waves with products like Android and Gmail, but its bread and butter is still search. On Tuesday, the company unveiled a slew of new search features, including the ability to search by images and input queries by voice on desktop computers.

Google is still the undisputed top dog in search, and has been for years. It commands about 65% of the U.S. search market, well ahead of competitors like Yahoo (YHOO) and Microsoft (MSFT). But that doesn't mean it can afford to grow complacent. The Mountain View-based company consistently releases new search features in an effort to make its results faster, easier to look up and more relevant to users. After all, despite new products, search still accounts for an overwhelming percentage of Google's revenues.

"If you give them [users] the information they want right away that's why they would come back again and again to Google, which generates tremendous value," Amit Singhal, Google fellow, said at a press conference the company held Tuesday morning in San Francisco to announce its new features.

Google's new search by images function lets users copy and paste an image URL and drop it into the search box on the company's homepage, or upload a picture directly from their computer. To search by voice on desktops, users will click on a microphone icon to the right of their search box, then speak their query out loud.

Other new features include Instant Pages, which Google says will open search results nearly instantly, a new user interface for tablet searches and a revamped mobile tool that lets users search by restaurants, coffeeshops or other local categories. But most of these new features will only be available to Chrome browser users, at least initially. And, despite recent speculation, Google didn't announce any new social search features at its press event.

It's no surprise that mobile in particular is the most attractive opportunity for Google and its search competitors. According to Google fellow Singhal, while desktop search traffic tends to dip during the winter holidays and summer vacation, mobile doesn't experience a similar slump.

"It just keeps growing at an amazing pace," said Singhal.

Singhal also said that relevance, simplicity and speed are fueling Google's success in mobile. Those are the same key ingredients for the company's lead in desktop search, which doesn't seem to be diminishing anytime soon. Under new CEO Larry Page, Google is even more determined to better understand how, why, when and what users search.

"He [Page] wants us to know more rather than just find better," Alan Eustace, Google's senior VP of knowledge, said at the company's press conference on Tuesday. "More broadly his view is that Google should be much better at understanding the world."

FORTUNE -- At yesterday's Google Wallet/Offers launch event in New York, Google (GOOG) laid out a very compelling case for using NFC-enabled Android phones to make payments at physical merchants. On the backend, Google has enlisted heavy hitters MasterCard (MA), Citi (C) and First Data to manage the money and data flow. And Google's Wallet will also work at the thousands of existing Mastercard PayPass locations nationwide.

In short, the whole ecosystem fits together extremely well except for one glaring omission:

Almost no one has the Sprint (S) Nexus S phones, which bear NFC chips, needed to fully utilize Google Wallet.

The Sprint Nexus S phone has been available for only a few weeks, but we already can gather it's not going to be Sprint's most popular device, Google Wallet or not. Primarily, it's expensive by Android standards: $199 with a two-year plan. One incredible fact: Sprint revealed that over 75% of the smartphones it sells are Android-based. Latest figures put Android smartphone sales at around 50% for the whole U.S. market. With Sprint's Google Voice initiative, the carrier is looking like Google's U.S. flagship. Perhaps for good reason: With T-Mobile's pending acquisition by AT&T (T), and Verizon (VZ) still in the honeymoon stages of carrying the Apple (AAPL) iPhone, Sprint is a natural partner to Google. And Sprint, tiny compared to its competitors, was desperately in need of a partner that could help it differentiate its offerings in the marketplace.

The Nexus S, by the way, is also available from T-Mobile. But a Google representative told me that T-Mobile's version won't initially support Wallet. Why? Google says T-Mobile hasn't yet agreed to offer the service, but there is no technical reason why T-Mobile's Nexus S can't do the same things that Sprint's version does, at least in this regard.

The bigger problem for adoption is that the Nexus S is the only U.S. smartphone with NFC technology. Google's solution to get its Wallet in more customers' pockets? Stickers. Google claims users of any Android phones can slap an NFC sticker on and get almost exactly the same Wallet experience as Nexus S owners. In sticker mode, the data flows a little differently: since the sticker can't communicate with the phone, the payment processor, First Data, sends the transaction information out over the cloud to an Android app running on the bestickered smartphone. Transactions may not be quite as seamless, but stickers sound like they will be a passable (and necessary) workaround, at least until NFC-enabled phones are more widely adopted. (In a few months, Google promises that other manufacturers and partners will step up with new equipment. Sprint is hosting an event in a few weeks with Motorola's (MMI) CEO Sanjay Jha which might include some more NFC devices.)

So, for now, until Google releases those special stickers, just a few thousand people in New York and San Francisco who own Sprint Nexus S phones are going to be able to make purchases with their Nexus S devices on Sprint's network with the following merchants:

Google Point of sale locations

But what about the Windows, Blackberry and iPhone users out there? Google appeared to be open to working with these companies, though the feelings are unlikely mutual. Each of the big players have their own plans for the potentially highly lucrative mobile wallet space. That won't likely stop Google from trying to sneak their way onto other devices. For example, Google's Voice product was denied by Apple for the iPhone when it debuted on Android and was relegated to a web app that ran on the Mobile Safari browser. By the time Apple finally approved the Google Voice app for the iPhone, there was little need for it. Google may take the same route, with NFC stickers, to circumvent handsets and carriers who don't want to let their customers use Wallet.

And the other carriers, namely AT&T and Verizon, are already tipping their hands: They've allied with a rival NFC alliance, ISIS and will probably release their own NFC system soon.

Google Offers: The carrot

The biggest hurdle to adoption will be consumers, however. While paying with your phone sounds cool, it's hardly a must-have app. That's where Google Offers come in. Offers is Google's answer to Groupon and Living Social, and will work hand in hand with Google Wallet. Offers is an integral part of the Wallet ecosystem and the company clearly hopes it gives Wallet some momentum. It's amazing to think about how different the Wallet launch would've looked if Google had been successful in its $7 billion bid to snap up Groupon.

Offers will extend over to online purchases too, where all of this new mobile infrastructure will integrate with Google Checkout, its Paypal competitor. Speaking of Paypal, Ebay's (EBAY) online payment leader wasted no time in suing Google over Mobile Payment secrets just hours after the announcement. Google executives Osama Bedier and Stephanie Tilenius came from Paypal, which alleges the pair took trade secrets over to Google and used them in creating Google Wallet.

Wall St. analysts seem cautiously bullish on the Google Wallet announcement:

Cowen's Jim Friedland believes that Google Wallet is well positioned to become the leading platform because: (1) Google is not collecting any transaction fees, platform highly attractive to banks, credit card companies, and retailers; and (2)the platform is completely open. He adds, " We believe it will take 2-3 years for to reach a critical mass of Google Wallet enabled phones and point-of-sale terminals, so material local commerce ad revenues are unlikely to kick in before 2013."

Citi's Mark S. Mahaney sees the move as a modestly positive one for Google:

Google Wallet is a unique way to push the Mobile Point Of Sale Payments market forward, and Google opting to not charge could drive quick adoption, as it did with its Android strategy. Monetization for Google will be indirect – this creates the potential for superior Ad Targeting based on closed-loop transaction knowledge. Good news – there doesn't appear to be major new GOOG infrastructure spend risk. As for Google Offers, this seems like a natural extension of its Local and Social offerings. We don't anticipate Google Wallet and Google Offers being material to GOOG's P&L for the foreseeable future.

Justin Post of Merrill Lynch, sees Wallet/Offers as a chicken or the egg conundrum getting off the ground but once so, as a benefit to Google's current ad business. In a research note, he wrote:

Google Wallet will have deep integration with Google Offers and potentially other new ad formats (like coupons in search results or geo-targeted coupons) which can help extend Google's advertising reach to the local retail market, a market somewhat untapped by Google. From a local merchant's perspective, these services and ad formats will enable direct marketing to consumers with offers and coupons based on search intent, consumer location, and previous merchant relationships allowing merchants to deepen customer engagement.

It will be interesting to see what kind of deals Google can get to pull people in. At the event today Google hinted at half-price seats for baseball games. That's a pretty good start, and if Google can really move major league teams to offer mobile offers of that caliber on the fly, it might have more people, including me, eyeing switching over to a Nexus S.

FORTUNE -- Matt Hershenson and Joe Britt, two legendary figures in mobile phone development, have suddenly resurfaced as part of the team building Android. Their hiring signals a big change at Google, showing that the company is getting just as serious about the hardware of phones — and this goes well beyond flip vs. candybar -- as it is the software.

Hershenson and Britt were part of the trio that founded Danger in 2000. The third partner: Android chief Andy Rubin. The three engineers launched pioneering consumer smartphones, like the once-ubiquitous-among-celebrities T-Mobile Sidekick in 2000.

Now they're back together again. Within the last 12 months, Britt and Hershenson quietly joined Google (GOOG) to run a new wing within Android called Android Hardware. They tell me they spend their days building things that will turn into reference designs for Android peripherals. Android Hardware is exploring everything from home automation to exercise gaming and robotics. While there are no immediate plans to build Google-branded Android hardware accessories, Britt indicated that he would love to see Google introduce some of its own Android peripherals in the long term. The folks in Cupertino (AAPL) have to be paying attention.

At Danger, the three were determined to change the mobile industry by putting a tiny computer in everyone's hands. They came up with the Hiptop, which was adopted by a renegade mobile carrier Voicestream shortly before that company was bought out by T-Mobile. The Hiptop was rebranded the Sidekick and went on to critical acclaim, at least in its niche of teens and celebrities who loved the ability to text message with a QWERTY keyboard, without having to carry around their father's BlackBerry. [For an interesting and thorough history of the early days of Danger told by Britt, Rubin and Hershenson, have a look at these videos from a 2004 Stanford talk.]

As Danger grew, investors wanted a manager at the helm, so Rubin relinquished the CEO role. Rubin left Danger in 2003 to form the company that would later become the basis for Android. Google bought Android in 2005, leading to Rubin's role as Senior VP at the company -- one of seven reporting directly to CEO Larry Page -- today.

Britt and Hershenson, meanwhile, stayed on at Danger for years, even after Microsoft (MSFT) purchased the company in 2008 and went to work killing the Sidekick. They briefly moved into the "Pink project," which produced the ill-fated and short-lived Kin phone (it was killed last summer). After the Kin's introduction, Britt and Hershenson both left Microsoft on the same day.

Matt Hershenson at Google I/O

The way Hershenson tells the tale, he drove almost directly out of Microsoft's parking lot and over to Google's Building 44, home of the Android team. Britt wanted to take "a year off", but says he was lured into Google within months by having lunches at the Google campus and learning what his former colleagues were up to.

At Google, their new roles dictate that the pair spend most of the time in labs, soldering irons in hand, engineering new products and product uses. In other words, they are back to a version of the rented office space they were tinkering around on robots in with Rubin when they launched Danger back in 2000.

Except today, it's 2011. Smartphones are mainstream and supremely powerful -- it's not just rappers and Paris Hilton who carry around the state-of-the-art in their pockets.

And unlike with Danger, Britt and Hershenson are involved with a goliath, not an up-and-comer. Android is turning out to be bigger than even the iPhone in terms of market share. That scale is what attracted and the former Danger founders to get the band back together, with their goal being to build the hardware and features they want to see show up in new Android devices. It's not enough for Google to just provide Android software to carrier -- now they hope to influence what handset makers build, too.

The new prototypes the team engineers at Android Hardware could end up in the hands of hundreds of millions, if not billions of people, which, after all, is what Rubin and the Danger crew were shooting for all along.

In case you were wondering: Britt and Hershenson both carry around Google Nexus S phones, though they've tried the new Android Sidekick and love the keyboard, which stayed true to its circa-2000 origins.

Bottom: T-Moblie Sidekick 4G from Samsung

I'm sure somewhere deep inside of Google (GOOG) headquarters, Android head Andy Rubin has been checking out the new Sidekick 4G by Samsung. Rubin, of course, headed the Danger outfit that designed the original Sidekick before they were purchased and destroyed by Microsoft in 2005. Today, after ridding itself of Microsoft's Sidekick, T-Mobile is launching the Android based Sidekick 4G.

As a Danger Sidekick user from 2003-2007, I too have been checking out T-Mobile's new Sidekick 4G for the past week. When I heard that T-Mobile was resurrecting the form factor with an Android 2.2 OS built on a Samsung Galaxy S platform, I was pretty sure this would be my next smartphone.

But things aren't always what they seem.

Looks:

Samsung and T-Mobile did an amazing job matching the Sidekick 4G aesthetics, both in hardware and software, to the previous Danger versions.

As strange as it may sound, I was much more productive (with messaging anyway) on my Sidekick 3 than I was on the iPhone that replaced it or any subsequent Blackberry or Android device that I've owned since. Some of that could have been in the four years of continuous usage I had with Danger products. Also, touch screens are more versatile but aren't as reliable for typing. As with regular typing, I didn't need to look at my Sidekick keyboard while I was typing.

So the good news in this regard is the new Sidekick 4G has the same 5-row keyboard, including shortcuts, as the previous Sidekicks. It is easily the best Android keyboard I've ever used, beating the previous champion, the Sprint Epic 4G (also made by Samsung).

Unfortunately, the rest of the experience melds the current Android experience and the previous Sidekick experience in unflattering ways. For instance, the buttons that normally are on the bottom of an Android phone are now spread around the outside of the SK4G device. That, in itself isn't a bad idea, but in doing this, the Sidekick 4G no longer has a search button for instant Voice Search and Actions.

This is something I use on Android many times a day and it is now entirely gone. I think T-Mobile doesn't realize the importance of Voice Actions because they've also stripped the MyTouch 4G of that capability, replacing it with their own less powerful utility.

To get the Android OS to operate the way a Sidekick does, Samsung and T-Mobile have built a pretty crazy overlay that puts everything in the funky Sidekick theme. That will appeal to tweens and the hip-hop sect that embraced the original Sidekick. For those with more refined font and color palettes, the theme will be a turn off.

More importantly, the crazy overlay will also mean that it will take much longer to get Android updates to this device (if they happen at all).

Worst of all, the overlay isn't holistically beneficial. The original Sidekick's menu was a simple one-dimensional slide through 10 programs, the most important ones in the middle. Meanwhile stock Android presents itself in a 2D grid that can be slid up and down. The combination of these two systems is confusing to users like me who've used both and prefer one or the other.

As the week wore on, I got used to this interface but I'm not entirely convinced that it is overly better than either stock Android or Danger's original.

Perhaps my biggest issue with this device is a hardware gripe: The screen doesn't pop up very easily in this new Sidekick. The old one took a finger flip, which not only was super easy but contributed to the 'hipness' . This Samsung device is more of a two-handed peeling of the screen. I imagine with use, the parts will wear and the process will get easier. For now, I like the older version.

Bottom line: For people like me who've moved from the Sidekick platform eventually to Android, this is a reminder that there is no going back. Technology has moved on. Stock Android with large touch screens is the new way of doing things.

However, for Tweens who've never used Android or people coming from the old Sidekick, the new Sidekick 4G is a great way to hit the ground running with Google's OS.

I've been playing with T-Mobile/LG's 8.9 inch Android 3.0 tablet for the better part of a week and I think it is an interesting piece of hardware. This is the first time I've played with Honeycomb, Google's (GOOG) tablet OS, extensively so it took a bit of getting used to.

There are plenty of things wrong with this tablet and I'll get to those below. But there are some good things here as well.

The 8.9 inch screen wide form factor might be the best part of this tablet. To get an idea of the size, imagine a 10-inch iPad watching a 16:9 movie. Chop off the letterboxing of the screen and you have the 8.9-inch G-Slate. Add to that, the G-Slate screen has a much higher pixel count and can display 720P video natively (the resolution is 768x1280) and you have a very useful screen.

The device itself is handsome with a dark brown-gray metal rim and plastic posterior. It weighs about as much as an iPad (630g) but because it is narrower, you can grab it around the back with your hands.

It also sort of fits in a cargo pants pocket but feels like you are carrying a bullet-proof metal plate when you try to walk. It probably fares better in a purse.

The battery isn't bad, either. It lasts about as long as a Samsung Galaxy Tab or about 8-9 hours of normal use. As for ports, it has a Mini HDMI-out on the bottom which will do full 1080P movies. There is a headphone jack on the side and a volume rocker on the top.

On the software side, there were a few bright spots. They YouTube app is fantastic and watching 720P content was very impressive on this screen.

Google's Maps application is also very impressive with 3D graphics rendering at lightning speed. The device has a built in GPS and was pretty quick to pick up a signal in most instances (for some reason while driving it was much slower to pick up a signal - which may be a software glitch)

The browser is also impressive and I am happy to say that the tabbed browser tabs were great to use. I've really wanted this for awhile and I think that the 1GB of RAM in these Honeycomb tablets make that possible. Flash worked flawlessly on SD video from sites like Crackle and PBS. Adobe says HD video will play better in an upcoming update.

The Books app is also beautiful, allowing you to enjoy Google Books in a native app in both landscape and profile modes. Gmail as well

Also the Google Talk app allows decent video conferencing over Wifi and 4G to people on other Honeycomb tablets and Gmail. The video quality wasn't fantastic but the connection was persistant and the controls are simple and easy to use. The Google Talk application is well designed.

Some of the third party apps I liked the most were T-Mobile's TV app which streams live TV over 4G. CNN (parent company disclosure here), Pulse and USA Today app all make great news reading tablet apps for Android. Many more are on the way.

As for the service, T-Mobile happens to be the fastest and most reliable network in my particular area and this device took advantage of it. When Verizon and Sprint move in with their 4G offerings, things may be different.

That's the good. Unfortunately, there is a ton of bad to go along with it...

The G-Slate has dual rear 5-megapixel cameras and comes with a set of 3D glasses to allow you to shoot and watch 3D pictures and movies. The 3D requires a separate app. If you've seen consumer grade 3D, you'll know what you are getting here. It is a neat trick but hurts my eyes/head after a few moments. I suppose you could record 3D videos and watch them on a better external display. The camera quality overall isn't great. I'd put it in the medium range smartphone category with graininess being an issue even with normal light.

The front and rear cameras do their job for video conferencing but you aren't going to get point-and-shoot type quality for stills or video.

Clockwise from top left: iPad 9.7", Acer 10.1", G-Slate 8.9", and Samsung Galaxy Tab 7"

The Honeycomb experience overall is fraught with problems. Built-in apps like Google Body crash pretty regularly and there are a lot of rough edges. The good news for T-Mobile and LG is that these issues can be ironed out in upcoming updates.

Speaking of updates, Android tablet software is still in its infancy with only a few hundred apps designed specifically for tablets available at this writing. That being said, hundreds of thousands of Android phone apps scale well. Facebook, for example looks great as an app on Android.

The device charges with a proprietary AC adapter rather than the lower power micro-USB chargers that most phones use which is unfortunate. Its weight, while not much heavier than an iPad 2, is significantly heavier than a Samsung Galaxy Tab. This is where tablets need to be if they want to be eBook readers.

The killer, however, is the price (which will have to come down). T-Mobile wants $530 with an expensive $30+/month two year contract. Off contract, the device is $750. Yes, that is more than a comparably equipped iPad 2. I don't expect that they will sell well at this price. If however, T-Mobile and LG drop the price significantly below the iPad, there is definitely a market for great 8.9-inch tablet hardware.

The G-Slate goes on sale on April 20th and will be available at T-Mobile and other third party resellers.

Google (GOOG) stock took a huge hit last week following its earnings call, dropping and incredible 47 points or 8.26% from closing the day before. That's $15B in market cap and its biggest one day loss since the 2008 Bear market.

Google surpassed revenue expectations by a significant margin and missed consensus EPS by mere pennies, so why did the stock get hit so badly?

Cowan's Jim Friedland notes,

Google's Q1:11 revenues exceeded expectations. However, EBITDA and EPS were slightly below consensus estimates due to a previously announced ramp in headcount, a 10% salary increase, and a jump in marketing to acquire Chrome users and new advertisers.

Wall St. was expecting a 8.10-8.13 EPS number. Google could only muster 8.08, which was less than 1% off. $15 Billion in Market Cap gone.

What's going into this thinking?

Let's consider those Chrome marketing costs mentioned above to be negligible in their own right, perhaps in the double digit millions at most. It appears that most of the rest of Google's rising expeses went to employees as a one time bonus, as a 10% salary increase across the board and hiring of additional 1600 more workers which will continue to grow throughout the year.

If Google raised employee wages by fewer percentage points, it meets/exceeds its EPS even though its costs still increased. How would the market have reacted to that?

The prevailing opinion seems to suggest that Google's numbers aren't completely at fault but instead the way Google talked to Wall St. was the issue.

In a rare downgrade of Google's stock, Citi analyst Mark Mahaney cited the "token appearance" by Page as being among the negative points from the company's quarter.

"We would have wanted Larry to stick around for Q&A," Mahaney wrote in a note to investors on Friday.

Remember, Google is the company who upset Wall St. to no end with their Dutch auction IPO in 2004. The company has never been terribly close to investment bankers. The Page administration didn't do itself any favors by ridding itself of Jonathan Rosenberg, who was normally on earnings calls and has a good rapport with analysts.

Via WSJ:Page's lack of concern for investor relations isn't unprecedented.

But who is more important to Google's long term success? Wall St. or its employees?

Larry Page seems more focused on keeping employees happy...and keeping employees. While the current lower stock price aren't going to be an incentive for current employees who want to cash out, a lower stock price combined with long term potential upside may be the kind of enticement that new entrepreneurial employees crave.

Meanwhile every employee across the board is getting paid significantly more than before and Google's employee compensation is much more competitive. That has to do wonderful things for moral inside the company – knowing that the leadership is willing to take a significant stock hit so that every employee has some extra money to spend.

Did Page & Co. know their spending decisions would have a negative affect on the stock price? Perhaps. Last week, Page unloaded a chunk of Google stock. In fact, many of Google's execs including the outgoing Schmidt and Rosenberg dropped some shares over the course of the quarter, perhaps preparing for a long fight with Wall St.

That leads to executive compensation. Nobody lost more on GOOG's loss than Larry Page, but as founder of the company, he is already financially set for many lifetimes. In general, founders of companies are insulated from thinking about investors as much as for hire CEOs whose compensation is usually directly related to stock performance. Founders can think long term to execute their vision without having to worry about getting fired for an off quarter or two.

Still, the move to reward employees rather than investors at large, seems to have its upsides. Google is just as, if not more capable of hiring and keeping talented employees which helps its long term chances of success.

Unfortunately, putting the employee above the investor seems to be an idea lost on Corporate America lately.

If YouTube receives a copyright notification about a user's video, the user will have to complete "YouTube Copyright School," which requires watching a tutorial video and passing a quiz to prove the user understands the copyright policies.

Additionally, Google has also created a way for errant YouTube users to redeem themselves. In certain cases, Google will remove copyright strikes from a user's account if he or she successfully completes its copyright school and has a solid track record of following the rules.

This theoretically simplifies purchasing and removes the barrier to entry for paid Apps for some Android users. Google remarked:

We believe that Direct Carrier Billing is a key payment option because it lets users purchase and pay for apps more easily. It's also important because it offers a convenient way to buy in regions where credit cards are less common.

Google (GOOG) currently only has carrier billing in the U.S. and in Japan, both regions where credit cards are pretty common so it seems like there are imminent plans to roll this out to carriers in countries where credit cards aren't as common.

Sprint last month announced that it would offer Google Voice to any of its post paid consumer voice plans and seems to be cozying up to Google in a big way, especially since the AT&T-T-Mobile merger. Sprint also announced it would carry its own 4G version of the Google Nexus S smartphone.

Sprint would be the only major U.S. mobile carrier not to carry Apple's (AAPL) iPhone should the merger go through.

The only other carrier without direct Android billing options is Verizon (VZ) and since they have their own VCast App Store, which charges to the phone bill, I wouldn't expect them to be signing up any time soon.

The new billing options should reach Sprint customers within the next few days. It won't affect Sprint's pre-paid subsidiaries like Virgin and Boost.

Google Sites had the highest number of viewing sessions as it neared the 2 billion mark, and highest time spent per viewer at 276 minutes, or 4.6 hours.

Back of napkin math shows that 82% of U.S. online video viewers watch Google/YouTube and more than a third of the almost 6 billion viewing sessions are Google's.

YouTube also blows away everyone, including Hulu, in terms of minutes watched per user and accounts for a third of all video measured by time watched.

But it may even be more lopsided than that.

Interestingly, No. 2 AOL (AOL) recently signed a five year deal with Google that included licensing its video technology. Also, VEVO has a huge content sharing deal with YouTube in place. Most of Vevo's videos are actually watched on YouTube.

Google is also planning to turn out much more video with $100 million devoted to building its own premium content and its recently announced YouTube Live channel.

Unfortunately, it isn't certain how comScore takes these joint ventures into consideration but either way, it show's Google's influence is even stronger than the big numbers it puts up.

Thursday's earnings call will be the first under new CEO Larry Page and analysts are expecting to get some guidance on the direction of the company. Overall the outlook is positive with expectations of Google (GOOG) beating guidance and the Street.

Interestingly, there isn't much talk about the ITA purchase, which has now gotten Federal approval.

Here we go...

Justin Post at BofA Merrill Lynch has a high target of $750 with higher OpEx to keep EPS in check:

A chance to come out swinging, Google reports 4/14: While we don't want to discount the Facebook, margin pressure and regulatory overhangs (which won't go away after the Q), management comments on search strength (including mobile), leadership changes, and product pipeline could set a more positive tone for the stock. We think the set up is positive over the next 6 months with negative sentiment (stock down 3% YTD), the potential for a backlog of product releases for the CEO Larry Page to announce, and our view that management does care about the stock price as an employee retention tool.

ThinkEquity's Aaron Kessler has a price target of $780 and is modeling $6.39B revenues(up 26.2%Y/Y, 0.3%Q/Q), roughly in line with the Street's $6.44B.

Based on our industry check as well as other industry data points, we remain comfortable with our 1Q Google net revenue estimates (up 26.2% Y/Y, 0.3%Q/Q). While we expect relatively in-line 1Q results for Google, we believe shares at 16x/14x our 2011/2012 PF EPS estimates or 14x/12x (ex cash)remain attractive vs. our mid-teens LT growth expectation. We reiterate our Buy rating and $780 price target (19x 2012E PF EPS)

Overall, our search checks indicated on average 15-20%Y/Y growth on a same client basis and down low single digits sequentially...Expect Aggressive Hiring and Pay Increases to Impact Margins

Jordan Rohan at Stifel Nicolaus has a target of $775 and sees Larry Page's early moves (7 reports, rewarding social, CFO given expanded power) as positive but sees risks to investment:

The biggest risk to earnings, in our view, is the impact on margins of hiring practices. Other risks include competition, and the popularity of social/mobile media, which could draw Google users away from the directly-navigated search behavior today, and broad macroeconomic concerns

Gene Munster at Piper has a price target of $725 and says GOOG looks cheap but with risks that include competition, increasing traffic acquisition costs, loss of key partnerships, and slowing ad/search growth.

Shares of Google have not moved meaningfully since the company reported Q4 earnings. We believe the reason is that investors are uncertain of Google's growth prospects in 2012 and beyond. While calling Google a value stock in the past has not worked out, we believe the current 14x multiple that GOOG trades at on FY12 consensus PF EPS of $40.09 appears cheap given expected growth of 18% in 2012.In terms of the upcoming quarter, we expect Google to report revenue in line with expectations of $6.32 billion, but believe there is a chance that there is downside to bottom line expectations of $8.13.

Trip Chowdhry from Global Equities Research has a lower price target of $650 with the following bullet point to consider:

Google search market share stable, query volume up, bid rates slightly up

"Radiation" Keyword strong - $13 PPC; "Radiation" AdSense also Strong – may contribute to surprise

Search+ YouTube strong; Re-Marketing – but how will it perform with "Do Not Track Me" Regulation

Google Reorg is 2 years too late; but can the new organization deliver?

Mark S. Mahane at Citi has a target of $750 and views Long-Term Risk/Reward As "Reasonably Attractive"

We are looking for $6.31B in Net Revenue (up 25% Y/Y and down 1% Q/Q) and $7.90 in non-GAAP EPS – This compares with consensus expectations of $6.32B and $8.13. Based on extensive intra-quarter channel checks and our model sensitivity work, we believe Street Q1 Revenue estimates are reasonable, although Street Q1 EPS estimates appear high-end aggressive, given clear company indications of a substantial headcount ramp and the previously announced 10% across the board compensation increase.

Kerry Rice at Wedbush has a price target of $750 and says that "Android could be as dominant in the smartphone market as in search." More on that shortly.

We believe 1Q10 revenue and EPS should exceed expectations given strength from international search and display. Our 1Q11 net revenue estimate is $6,376 million, which is modestly above consensus of $6,322 million and our pro foma EPS estimate of $8.17 is also modestly above consensus estimate of $8.13. While we expect solid growth from U.S. search, we believe the upside could come from paid clicks and international geographies. While U.S. search queries were seasonally weaker than we expected, we believe paid clicks were likely as strong as or stronger than in 1Q10 due to the success of Google Instant (Figure 1). We believe Google should report growth in paid clicks of at least 15% YoY (Figure 3). While Cost-per-Click (CPC) rates fell below our expectations, the decline was less than we expected (Figure 2). We believe the uptick in March resulted from an increase in CPC rates primarily from the Retail, Auto, and Finance verticals. We believe upside could come from international geographies, which according to our contacts surprised on the upside with significant YoY growth

Yesterday, Google (GOOG) introduced "A Google A Day" –a game that produces a question a day and encourages users to solve the puzzle using Google's search engine. I'm not a crossword puzzle type but I imagine some people find this interesting. Obviously, it encourages people to use Google's search engine -which is clearly beneficial to Google both in short term search query gains as well as long term habitual searching.

One thing that did stand out is this: The Google-A-Day search engine is a snapshot of the search engine for that day.

You are searching Deja Google – A wormhole inspired time machine that enables you to solve today's puzzle spoiler free by searching the Internet as it existed before A Google a Day launched.

Now this is interesting.

For those of us covering the news, this can be a pretty useful tool. For instance, if I want to find out about the Cisco-Flip relationship in regards to the news today that Cisco was disolving its Flip unit, I could do a Google or Bing search on the matter. Because search engines populate recent information to the top of results, almost all of my results are today's news.

However, if I do a A-Google-A-Day search, I get the results without all of today's news thrown in.

That's useful!

Last Friday afternoon, I learned that a batch of court documents had been unsealed and had revealed one particularly striking development: the United States Department of Justice had rejected Google's claim that Google Apps for Government, Google's cloud-based suite for government customers, has been certified under the Federal Information Security Management Act (FISMA). Given the number of times that Google has touted this claim, this was no small development.

Ouch. Would Google lie about being FISMA certified when it got rejected? Seems like a seemingly stupid and risky move. But later on, some clarification came to light.

The Justice Department acknowledges that the General Services Administration (GSA) had certified a different Google offering, Google Apps Premier, for its own particular use under FISMA last July. As the DOJ's brief explains, "However, Google intends to offer Google Apps for Government as a more restrictive version of its product and Google is currently in the process of finishing its application for FISMA certification for its Google Apps for Government." Lest there be any doubt about the situation, the brief adds, "To be clear, in the view of the GSA, the agency that certified Google's Google Apps Premier, Google does not have FISMA certification for Google Apps for Government."

It appears that Google's (GOOG) General Apps product, the one for mom and pop businesses up to huge companies like Genentech, was FISMA approved for use by the General Services Administration in July 2010. The more restrictive version of Apps, for Government, is still going through the application process.

So a less secure version of Apps is certified and a newer, more secure version of Apps for Government isn't. Interestingly, Microsoft's own product, Business Productivity Online Standard, is not FISMA approved. It is interesting that Microsoft has taken this strategy to support which exposes a weakness.

Google's David Mihalchik, Google Enterprise told me:

This case is about the Department of Interior limiting its proposal to one product that isn't even FISMA certified, so this question is unrelated to our request that DOI allow for a true competition when selecting its technology providers.

Even so, we did not mislead the court or our customers. Google Apps received a FISMA security authorization from the General Services Administration in July 2010. Google Apps for Government is the same system with enhanced security controls that go beyond FISMA requirements. As planned we're working with GSA to continuously update our documentation with these and other additional enhancements.

The Government version of Apps should indeed be certified for FISMA certification. The question is: Why hasn't the more secure version been approved. My understanding is red tape but we'll look to Google for more information on the matter.

Let's take a look at what has transpired and what's likely to come.

Within 24 hours of taking control, Google announced it was seeking to buy up Nortel patents, which would put it on more equal footing in the Wireless space. Google's Android OS has outgrown the company's patent portfolio and the other industry titans are now taking aim at Google in the courtroom. Google's opening offer was $900 million (and by putting that out there, Google gets a reward if it is outbid).

This is a good move. Patent questions are still one of the biggest uncertainties in the Android ecosystem and having a portfolio that matches those who wish to attack will help those who work with Android sleep at night.

Day Two: Product Chief Jonathan Rosenberg was shown the door after almost a decade with the company. His departure is associated with Page's desire to streamline the company and cut out some management fat. Rosenberg was brought in as one of Eric Schmidt's first significant hires and is seen as an early management mentor to Google's current ruling class. His plans to help write a book with former CEO Eric Schmidt on Google management shows that Rosenberg was clearly aligned with the former CEO.

Day Three: Google announced its earnings call which would be the first in Page's era (Google wasn't public in his first CEO tenure). Who will join CFO Patrick Pichette? With Schmidt and Rosenberg gone, it will be a good time for Larry Page to make an appearance and set the direction for the company, at least in the eyes of investors.

Day Four: Page ties employee bonuses to Social. Probably the clumsiest move so far, the PR spin from this move has been bad. Long term, the move may not be such a bad idea. Google employees have been departing to Facebook and other social startups for real and perceived riches. Now, to a much smaller extent, they have some monetary motivation to work on social at Google.

At the very least, it puts social on the minds of Google's brainy 20,000-plus workforce.

Day Five: The Google-ITA deal got pushed through and both sides somehow seem to be trumpeting it as a success. Google must let the Fairsearch.org members have access to ITA software and even more interesting, must invite Government regulators to evaluate Google's competitiveness on a yearly basis.

This is a big wild card as government intervention and competitiveness claims arise both in the US and the E.U.

Day Six: YouTube announces YouTube Live streaming. This is a big deal for news, events and sports coverage. Ustream and other sites have popularized services like this for awhile but YouTube's entry into this space will be a big deal for new types of content. Couple that with the $100 million Google is funneling into original content and you could theoretically call YouTube its own network at this point.

And just under the wire this weekend, Shona Brown, was demoted to overseeing the Google.org business. She was last week, number five on Google's exec list which is a huge blow. Now, CFO Patrick Pichette, will be taking over HR and BizOpps. The fate of Lazlo Bock, Google's VP of HR is in question - he likely will report to Pichette.

So now Google has a new Org structure, though as of this writing the old one is still on Google's website. Interestingly, Page has seven direct reports now, the scientific number of things that humans can focus on at once.

The executives promoted to senior vice president include Salar Kamangar, who leads YouTube; Andy Rubin, chief of Android; Sundar Pichai, head of the Chrome Web browser and operating system; and Vic Gundotra, who is in charge of the company's social-networking initiatives, said a person familiar with the matter.

Three current senior vice presidents—Susan Wojcicki, who leads advertising-product initiatives; Jeff Huber, an engineering executive; and Alan Eustace, who led engineering and research—will become heads of ads, commerce and local, and Web search, respectively, the person said.

So far, I'd say Page is taking care of business though the long term consequences are still unknown. Just today, it was revealed that rival Facebook is going to be teaming up with search rival Baidu in China for a social network. Perhaps Page should get friendly with Tencent, the current leader in Social in China.

That's for week two.

We'll find out more about Google's plans at the earning's call on Thursday.

Update: The merger has been approved with significant stipulations including licensing of the software:

WASHINGTON – The Department of Justice announced today that in order for Google Inc. to proceed with its proposed acquisition of ITA Software Inc., the department will require Google to develop and license travel software, to establish internal firewall procedures and to continue software research and development. The department said that the proposed settlement will protect competition for airfare comparison and booking websites and ensure those websites using ITA's software will be able to power their websites to compete against any airfare website Google may introduce. The department said that the acquisition, as originally proposed, would have substantially lessened competition among providers of comparative flight search websites in the United States, resulting in reduced choice and less innovation for consumers.

The Washington Post notes that U.S. regulators are trying to hand down a decision before a possible government shutdown sidetracks negotiations.

Antitrust officials are moving quickly to resolve months of negotiations with the tech giant over concerns that the acquisition could hurt competition in the travel search business. A shutdown could throw the talks into disarray because many Justice employees would not be able to work.

The government is looking to implement "ongoing anti-trust monitoring" which would be a first for a tech company, according to the report. Google (GOOG) announced its intentions to purchase ITA in July for $700 million. Since then there has been much outcry from competitors in the airfare-booking space, including a consortium of companies under Fairsearch.org.

Microsoft (MSFT) last month filed a formal complaint to the E.U. Commission on what it saw as Google's wielding its power in an anti competitive manner.

There were reports in February of a deal being struck.

If you've ever played with an Acer netbook, you'll know the computer maker isn't adept at turning out high end products. But the Taiwanese company makes a good mid-range product, and they do it with razor-thin margins. This strategy is part of the reason they canned their CEO Gianfranco Lanci last week, saying they wanted to be more like HTC and Apple (AAPL) rather than HP(HPQ).

But small margins allow Acer to bring to market a tablet that has most of the same components as the $600 Motorola (MMI) XOOM, including Nvidia Tegra 2 processor, 1280x800 display, 5 megapixel/2 megapixel cameras, USB2 and SD card storage expansion ...at a $150 discount.

On paper, this product is much better value than Motorola's offering, which some analysts estimate only sold 100,000 units as of April 1st.

Obviously, most tablet consumers will opt to pay $50 more and get the base model iPad instead.

However, the price war has just begun. Acer products at Best Buy don't tend to hold their prices well and look for this device to head toward the $399 range pretty quickly. Once the difference in price between iPad and Android is $100-$200, I'd expect more and more people to opt for Android –which is good for Google (GOOG).

The Iconia A500 Tab is available for pre-order at Best Buy for $450 and will take delivery on April 24th. I wouldn't expect any lines.

However, as smartphones go down in price to where high-end feature phones are priced today, traditional feature-phone buyers will move into the smartphone camp.

While mature markets accounted for more than half of the 2010 global sales of entry-level Android smartphones, emerging markets will dominate the handset segment in 2011. The China market will see demand for 10-13 million entry-level Android smartphones in 2011.

Google (GOOG) is currently activating more than 300,000 devices a day or about 10 million a month.

Dow Jones' VentureWire reports this evening that most of the companies seeded with cash from Kleiner Perkins famous iFund are taking their iApps and porting them over to Google's (GOOG) Android platform.

A telling stat:

13 of the 16 companies backed by the $200 million iFund now have both iOS and Android apps or will within a few months. Of the 16 companies in Kleiner's iFund, only digital magazine Flipboard Inc. and non-fiction publisher Callaway Digital Arts Inc.--both of which are geared toward the iPad--and home control system company iControl Networks Inc. don't have applications for Android.

The report notes that jobs for iOS Developers trail jobs for Android developers on technology job site, Dice. In an informal, unscientific count, I tally 837 for iOS and 1,163 for Android.

It isn't just hiring companies that have put in the shift. Developers are starting to follow the money. "Before it was iPhone, iPhone, iPhone," Scott Lahman, chief executive of Gogii an iOS turned Android development house, told VentureWire "Now more [job] candidates are saying they want to work on Android."

Venture Capitalist Fred Wilson has been imploring developers (or at least ones that would like to get funded) to take up Android development for about six months now. He's taken some heat for that assertion, but it appears that the numbers are starting to back him up.
