The Contributor hereby assigns to Syntasso by way of present and future assignment absolutely with full title guarantee all its right, title and interest in and to the Works, including all rights in the nature of copyright and related rights, the right to bring, make, oppose, defend, appeal proceedings, claims or actions and obtain relief (and to retain any damages recovered) in respect of any infringement, or any other cause of action arising from ownership, of the Works whether occurring before, on, or after the date of this Agreement.
In consideration of the assignment of the Works, Syntasso shall acknowledge the Contributor as a contributor to any Syntasso products which incorporate the Works.
This Agreement constitutes the entire agreement between the parties relating to its subject matter. Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this Agreement. No variation of this Agreement shall be effective unless it is in writing and signed by the parties (or their authorised representatives). This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England.
